The most common business entities in Tanzania are private limited company and public limited company. Public and private company fulfil different economic purposes; the former to raise capital from the public to run the corporate enterprise, the latter to confer a separate legal personality on the business of a single trader or a partnership.

The other business entities in Tanzania are partnership. This chapter will focus on the private limited company and public limited company as they are the most important entities involved in international trade.

Incorporation

The first step, to consider in formation of a company in Tanzania is choice of type. The promoters will first have to make up their minds which of the several types of Registered Company they wish to form, since this may make a difference to the number and types of documents required, and will certainly affect their content.
